About these terms

These terms and conditions govern the agreement between Digital Graft (“we”, “us”, “our”), a sole trader web design service operating at digitalgraft.uk, and you, the client (“you”, “your”). By commissioning work from Digital Graft, you agree to these terms.

2.

Services

We provide website design and development services as agreed between both parties prior to work commencing. The scope of work, deliverables, and timeline will be confirmed in writing (via email or a project brief) before we begin.

Any work requested outside the agreed scope may be subject to additional charges, which will be communicated to you before proceeding.

3.

Payment

Invoicing

We invoice on completion of the agreed project. Payment is due within 14 days of the invoice date unless otherwise agreed in writing.

Late payment

If payment is not received within 14 days, we reserve the right to:

  • Suspend delivery of files or access to the completed website
  • Charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998

Non-payment

If an invoice remains unpaid after 30 days without an agreed arrangement, we reserve the right to take the website offline and pursue the outstanding amount through appropriate channels.

4.

Your responsibilities

To allow us to complete your project on time, you agree to:

  • Provide all required content (text, images, logos) in a timely manner
  • Review and provide feedback within a reasonable timeframe (typically 5 working days)
  • Ensure all content you supply is accurate and that you have the right to use it

Delays caused by late content or feedback may affect the agreed delivery timeline. We are not liable for delays resulting from your failure to provide required materials.

5.

Revisions

Each project includes a reasonable number of revisions as agreed in the project brief. Revisions are changes within the original scope — significant changes to design direction or scope after work has commenced may incur additional charges.

6.

Intellectual property

On full payment

Once payment has been received in full, ownership of the completed website design and its content passes to you. You are free to use, modify, and host it as you wish.

Before full payment

Until the invoice is paid in full, all work remains the intellectual property of Digital Graft. We reserve the right to withhold delivery of final files until payment is received.

Our portfolio

We reserve the right to display completed work in our portfolio and use it for promotional purposes unless you request otherwise in writing before the project commences.

7.

Third-party services

Some projects may involve third-party tools, platforms, or services (e.g. hosting providers, domain registrars, CMS platforms). We are not responsible for the terms, pricing, availability, or performance of any third-party service. Any costs associated with third-party services are your responsibility unless explicitly included in the agreed project scope.

8.

Hosting and ongoing maintenance

Unless explicitly included in the agreed project scope, we do not provide hosting, domain registration, or ongoing maintenance services. Once the site is delivered and paid for, ongoing upkeep is your responsibility.

9.

Limitation of liability

To the fullest extent permitted by law:

  • We are not liable for any loss of income, loss of business, or indirect damages arising from the use or inability to use your website
  • Our total liability in connection with any project shall not exceed the total amount paid by you for that project

We do not guarantee specific search engine rankings or business outcomes resulting from your website.

10.

Cancellation

If you wish to cancel a project after work has commenced, you agree to pay for all work completed up to the point of cancellation. We will provide a breakdown of work completed on request.

If we are unable to complete a project due to circumstances on our end, we will notify you promptly and refund any payments made for work not yet delivered.

11.

Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

12.

Changes to these terms

We may update these terms from time to time. The current version will always be available at digitalgraft.uk/terms. Continued use of our services after any changes constitutes acceptance of the updated terms.
